DEED OF EXCHANGE

KNOW ALL MEN BY THESE PRESENTS:

This Deed of Exchange made and entered into by and between:

WHEREAS, the FIRST PARTY and the SECOND PARTY have agreed to transfer and
convey by way of exchange the above-described parcel of lands in favor of each other;

PARTY by these presents hereby CEDES, TRANSFERS and CONVEYS BY WAY OF
EXCHANGE the parcel of land covered and described under Transfer Certificate of Title No.
_____________ of the Office of the Register of Deeds of _____________, including all
improvements found and standing thereon, in favor of the SECOND PARTY and in the same
manner, the SECOND PARTY CEDES, TRANSFERS and CONVEYS BY WAY OF
