EXCLUSIVE LICENSING AGREEMENT

As discussed we confirm herewith the terms and conditions to exclusively obtain the master rights in the above
mentioned recording to promote and exploit it. Date: 02 September, 2023

Real Name: Enzo Courtoux

Title: “Snowy Twist, all mixes and versions (here in after referred to as" Master).

Label: RAX Label and any affiliated labels and sub-labels.

Grant of Rights: Artist grants to Label with undersigning of this Agreement exclusive control over the Master, for the
Tem including the exclusive exploitation rights and the right to license and sublicense (subject to restrictions as outlined
hereunder). Artist grants to label control overexploitation in any and all formats are now known and in the future including
but not limited to any singles, viny, downloads, streaming, ringtones, video, DVD, the label share of neighboring rights
(label share to collect and keep synch, sampling, etc.

Term and territory: Rights granted to Label are limited to Worldwide and Universe for Life Time.

Royalty paid to Artist/Producer: Label shall start paying Artist 75% of Net Receipts from wholesales and digital income
on the Master after the reservation mentioned below $0% of Net Receipts from exclusive and non-exclusive licensing,
non-exclusive 3rd Party compilations, synch, DVD, sampling, and other income.

Royalty Comment: Each Artist will get its own statement directly from the Repost Natwork.

Accounting & payment: Statements shall be sent within 90 days from June 30th and December 31st, payment within 30
days. All payments shall be made to Artist in India and other country are cross recoupable with all other licensing
agreements between Label and Artist Artist shall provide written notice if Label fails to deliver the payment, and Label
should consequently provide this within 60 days from notification Label shall grant audit rights not more than once in any
calendar year upon a minimum of thirty (30) days written notice and during our normal business hours. Such an audit
shall be handled by an independent accountant. You shall not be entitled to inspect books and records or challenge any
royalty statements more than Two (2) years after the same has been rendered.

Delivery of Masters: Artist shall deliver to Label a satisfactory digital Master Recording including all mixes, official radio
edit audio files, and other parts of each Master subject to the provisions hereof, free of charge upon signing this
agreement Such digital files or other mutually accepted formats shall be of suitable quality for commercial exploitation of
the Master. At the time of Delivery to Label Artist shall supply to Label in writing the correct title of the recorded work,
the names of the Artist, composer, and publisher thereof the timing together with any additional copyright information
known to Artist as well as the names of the recording artists in the appropriate form for display on record labels and
packaging.

Warranty:
● Artist warrants and represents that Artist is free to enter into this Agreement and that all rights and materials
furnished to Label within this Agreement are original and do not infringe upon the rights of any other entity. The
label is not liable for the damage that the artist inflicts in the case of any of the violations previously mentioned.
You shall keep Label harmless and free from any possible claims and damages of third parties or any
infringement of their rights concerning the contractual material outside this Agreement.
● The artist shall not re-record the Master during the Terms for any third party for exploitation purposes
● All audio & video content by artists is exclusively uploaded, monetized, and premiered on the Label's official
online channels & property unless otherwise discussed and approved by the label.
● All promotional efforts associated with the release of the Master including but not limited to remix competitions,
giveaways, raffles, etc. executed by Artist and/or 3rd parties will be implemented only after prior written approval
by Label.
● Artist hereby warrants that Artist is not subject to any arrangement, agreement, or contract in respect of Artist's
recording services and/or performances which would prevent the provision of services and/or grant of rights as
set out here.
Warning: Don't share this contract publicly. You will be charged a huge charge if you release this contract publicly without
our permission. We have the right to cancel this contract at any time.

Law: This Agreement shall be construed exclusively under the laws of India and the applicable Indian law if any part of
this Agreement shall be void or unenforceable, it shall not affect the validity of the balance of this Agreement. Disputes
arising from this agreement shall also be settled under Indian law and Asin law. Any disputes will be settled by the
competent Indian court.

Indemnification. Artist hereby indemnifies Label and undertakes to defend Label against and hold Label harmless
(including without limitation attorney fees and costs) from any claims and damage arising out of breach of Artist's
Warranties and agreements as provided above Artist agrees to reimburse Label for any payment made by Label with
respect to this Section, provided that the claim has been settled or has resulted in a final judgment against Label or its
licensees Artist shall notify Label in writing of any infringements or imitations by others of the Master Recording, which
may come to Artist's attention.

I have read the above Agreement and confirm that I agree to be bound by the terms contained therein.
