Label Contract
This Agreement (the "Agreement") is entered into on this [Date], by and between:
[Your Label Name], a [Company Type: e.g., Limited Liability Company] organized under the laws of
[Country], having its principal office located at [Address] (hereinafter referred to as the “Label”),
(Each of the parties individually referred to as a “Party” and collectively as the “Parties”).
WHEREAS, the Label is in the business of promoting, producing, and distributing musical works by
various artists, and the Artist and Manager wish to work together to further the objectives of the Label
and their personal and professional careers.
NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the Parties
agree as follows:
1. DEFINITIONS
For purposes of this Agreement, the following terms shall have the meanings specified below:
"Artist’s Work" refers to any music, sound recordings, performances, or other creative content created
by the Artist.
"Managerial Team" refers to any individuals hired by the Label to provide management and
administrative services to the Label and its Artists.
"Revenue" refers to any income derived from the sale, streaming, licensing, or any other distribution of
the Artist’s Work, as well as income from live performances, including tours, shows, and engagements.
2. TERM AND TERMINATION
2.1 Effective Date: This Agreement shall become effective as of the date first written above and shall
remain in full force and effect unless terminated in accordance with this Agreement.
2.2 Termination for Breach: Either Party may terminate this Agreement immediately upon written notice
if the other Party materially breaches any of its terms and fails to cure such breach within [30] days
following receipt of written notice of such breach.
2.3 Voluntary Termination by Artist: The Artist may terminate this Agreement by providing [30] days
written notice to the Label. In such case, any rights the Artist has granted to the Label prior to
termination will remain intact, and any outstanding payments or obligations to the Label must be
settled.
2.4 Termination by Managerial Team: The Managerial Team may terminate their participation in the
management of the Label upon [30] days written notice to the Label. The Managerial Team shall be
entitled to compensation for services rendered up until the date of termination.
Contribute to Monthly Label Costs: The Artist shall contribute KSH 1,167 per month to cover the
operational expenses of the Label.
Music Content Creation: The Artist shall produce and deliver music in accordance with the requirements
of the Label and within the designated timelines.
Engagement: The Artist shall participate in promotional events, media appearances, and other Label
activities as reasonably requested by the Label.
Revenue Distribution: The Artist shall receive 90% of all revenue generated by their music sales,
streaming, live performances, and any other income generated from their artistic works.
Manage Label Operations: Provide oversight for the business and marketing functions of the Label,
including promoting the Label and the Artist’s Works.
Revenue Allocation: Ensure proper allocation and distribution of revenue according to the terms set
forth in this Agreement.
Revenue Share: The Managerial Team shall receive 5% of the Artist’s earnings, as a compensation for
their role in managing, promoting, and administering the Artist’s business and creative endeavors.
4.1 Revenue Sharing: All revenues derived from the Artist’s music sales, streaming, live performances,
and related income shall be divided as follows:
Label Share: 5% of the revenue will be retained by the Label to support operational and growth costs.
4.2 Operational Contribution: Each Party agrees to contribute the following amounts towards the
monthly operational costs of the Label:
4.3 DistroKid Subscription: The Label shall maintain a DistroKid account for music distribution, which
costs KSH 10,000 per year. This subscription will be divided equally among the 15 artists, with each artist
contributing KSH 667 per year or KSH 56 per month.
4.4 Marketing Budget: The Label shall allocate KSH 5,000 per month for marketing, including but not
limited to social media promotion, advertisements, and other promotional campaigns for the Label and
its artists.
5.2 Grant of License: The Artist grants the Label a non-exclusive, worldwide license to use, distribute,
and promote the Artist’s Works. This license is granted for the duration of the Agreement and any
renewal or extension thereof.
6.1 Professional Behavior: Both Parties agree to maintain a professional and ethical standard in all
dealings related to the Label. The Artist and Managerial Team shall act in the best interest of the Label at
all times.
7. DISPUTE RESOLUTION
7.1 Negotiation: In the event of any dispute between the Parties, the Parties agree to first attempt to
resolve the matter amicably through informal negotiation.
7.2 Arbitration: If the dispute cannot be resolved through negotiation, the Parties agree to submit the
dispute to binding arbitration in accordance with the [Arbitration Rules of the [Country/Region]]. The
decision of the arbitrator(s) will be final and binding on all Parties.
8. GENERAL TERMS
8.1 Entire Agreement: This Agreement constitutes the entire agreement between the Parties and
supersedes any prior agreements, understandings, or representations related to the subject matter of
this Agreement.
8.2 Amendments: Any amendments or modifications to this Agreement must be made in writing and
signed by all Parties.
8.3 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of
[Country].
8.4 Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remaining
provisions shall remain in full force and effect.
8.5 Confidentiality: Both the Artist and Managerial Team agree to keep all confidential information
related to the Label and its operations private, unless otherwise required by law.
