Contract agreement

This agreement is made on the----------------------------by and between Boortmalt


Ethiopia plc with address at kebele 03 House No New Tel 0116672624 (herein after
referred to as "the client") and
Nadew Yemisrach and friends partnership, with Tin nbre: 0055184063
Tel.0920762254, (hereinafter referred to as "the contractor") under the following terms
and conditions.

WEHEREAS, the client agreed in negotiation for the cafeteria shelf and labor union
office construction to be done in the premises of Boortmalt Ethiopia factory in Debre
Birhan industrial park and has accepted the contractor price for cafeteria shelf and
labor union office construction in the sum of 95,450,000 ETB including VAT.

NOW, THEREFORE, the two parties have agreed as per the terms and conditions here-
in-below.
1. The Agreement
1.1 In this agreement words and expressions shall have the same meanings as
assigned to them in the conditions of contract
1.2 The following documents shall constitute the contract between the Client and
the Contractor,
1.2.1 This contract agreement and Appendices attached to the contract
agreement
1.2.2 Price schedule
1.2.3 Bill of quantity
1.3 This contract shall prevail over all other contract documents. In the event of any
discrepancy or inconsistency within the contract documents, then the document
shall prevail in the order listed above.
2. Service duration
2.1 the contractor agrees to complete, and handover all works in from the date the
contract agreement has been signed and 50% advance payment of the total
agreement has been paid by the client.
3. Payment terms and conditions
3.1 The client will pay a 50% advance payment of the total agreement at the
beginning of the works
3.2 Remaining 50% payment will be made once work is completed and handed
over to the client by the contractor.
3.3 The contractor will provide a VAT receipt for the payment he received.
4. Appendix

1
The appendixes listed below shall be deemed to form an integral part of this contractagreement.

5. Termination

5.1 At any time if the client is not satisfied about the service or the contractor, then it can
terminate this agreement by giving a prior advance notice e of 5days, but without any
advance notice in case of breach of his obligations by the contractor.
5.2 If the contractor terminates this agreement without a default on the part of the client or any
valid reason acceptable by the client, then it shall bare responsibility for any damage
incurred by the client as a result of this agreement.

6. Applicable law and jurisdiction

This agreement will be governed by the applicable laws of Ethiopia, and in the event of any
dispute between the parties regarding application or the interpretation of this agreement the
two parties shall first try to resolve their disagreement amicable, failing which the parties can
submit their cases to a court having jurisdiction to adjudicate the case.
