ARTIST CONTRACT

This contract is made effective as of ………day of …………………, between:

JAMAAL XPERIENCE a company incorporated and based in Uganda, located


at Namanve in Mukono district,

and

MUTONI MARIAM a.k.a SHIFRAH residing at Bunamwaya in Kampala


district.

1. Appointment and Services:

1.1 The company appoints the Artist to perform and record music recordings
("Masters") for commercial release under the terms set forth herein.

1.2 The Artist agrees to provide the Label with exclusive rights to the Masters
produced during the Term (defined in Section 2) for distribution and
promotion.

**2. Term:**

2.1 The initial term of this Agreement ("Initial Term") shall be for a period of
[Number] years, commencing on [Start Date].

2.2 Upon completion of the Initial Term, this Agreement shall automatically
renew for successive [Number] year periods ("Renewal Term(s)") unless
terminated earlier by either party in accordance with Section 8.

**3. Compensation:**

3.1 In consideration for the services rendered and rights granted under this
Agreement, the Label agrees to pay the Artist the following compensation:
- A signing bonus of [Amount], payable within [Number] days of the
execution of this Agreement.

- Royalties on the sale or licensing of Masters, calculated as [Percentage] of


net revenue received by the Label from exploitation of the Masters.

3.2 The Label shall provide semi-annual accountings and payments to the
Artist within [Number] days following the end of each calendar half-year
period.

**4. Production and Delivery:**

4.1 The Artist agrees to deliver to the Label a minimum of [Number] Masters
per year during the Term, beginning within [Number] days of the execution of
this Agreement.

4.2 The Label shall have the right to approve the production quality of each
Master before release and distribution.

**5. Promotion and Marketing:**

5.1 The Label agrees to use commercially reasonable efforts to promote,


market, and distribute the Masters in various formats and territories
worldwide.

5.2 The Artist agrees to reasonably cooperate with the Label in the
promotion and marketing efforts, including interviews, appearances, and
performances as mutually agreed upon.

**6. Intellectual Property:**


6.1 The Artist warrants that they are the sole creator of the Masters and that
they have the full right and authority to enter into this Agreement.

6.2 The Artist grants to the Label the exclusive right to use, reproduce,
distribute, and publicly perform the Masters during the Term and any
Renewal Term(s).

**7. Ownership of Masters:**

7.1 As between the parties, the Masters shall remain the property of the
Artist, subject to the rights granted to the Label under this Agreement.

7.2 Upon expiration or termination of this Agreement, the Label shall have a
perpetual, irrevocable, worldwide license to continue to exploit any Masters
released during the Term or any Renewal Term(s).

**8. Termination:**

8.1 Either party may terminate this Agreement upon [Number] days' written
notice if the other party materially breaches any provision of this Agreement
and fails to cure such breach within [Number] days after receipt of written
notice specifying the breach.

8.2 The Label may terminate this Agreement immediately if the Artist
commits a breach of their obligations under Sections 4 (Production and
Delivery) or 6 (Intellectual Property).

**9. Miscellaneous:**
9.1 This Agreement constitutes the entire understanding between the parties
concerning the subject matter hereof and supersedes all prior agreements
and understandings, oral or written, with respect to such matters.

9.2 This Agreement may be amended or modified only by a written


instrument executed by both parties.
