CONTRACTOR’S AGREEMENT

_________________________ a company duly organized in accordance with and registered


under the laws of the Philippines, and with registered office at ________________________,
represented herein by _______________________, in his capacity as Proprietor & General
Manager, hereinafter refer red to as the “CONTRACTOR”

-and-

__________________________ of legal age, with residence at __________________________,


hereinafter referred to as the “OWNER”.

In consideration of the mutual premises herein contained, OWNER and CONTRACTOR hereby
agree as follows:

1. SCOPE OF WORK
The OWNER hereby engages the CONTRACTOR to supply the required materials, use of
tools, skilled labor services and supervision necessary for the completion of the project
stated below:

Note:
• Any additional scope and changes in the agreed plans and specifications
not included in this agreement shall be subjected for additional charges.
• The OWNER had the right to change or modify the approved plans and
specifications. The CONTRACTOR and OWNER agree to negotiate the
adjustment of the cost, if any, due to such modification/s.

2. CONTRACT AMOUNT & PAYMENT SCHEDULE


a. In full consideration for the performance of the services hereunder, and for any rights
granted or relinquished by the Contractor under this agreement, the OWNER shall pay
the CONTRACTOR an amount of __________________________ .

b. Terms of payment shall be as follows:


b.1 Thirty percent (30%) down payment. Down Payment to be recouped during each
progress billing.
b.2 Seventy percent (70%) progress billing.

3. DURATION
The project duration shall be One Hundred Twenty (120) working days.

4. ASSURANCE OF SERVICES
CONTRACTOR assures that it is available to perform, and will perform, the services
hereunder until they are completed.

5. CONTRACTOR RELATIONSHIP
The CONTRACTOR agrees to perform the Services hereunder solely as a Contractor. The
parties to this Agreement recognize that this Agreement does not create any actual or
apparent agency, partnership, franchise, or relationship of employer and employee
between the parties. The CONTRACTOR is not authorized to enter into or commit the
OWNER to any agreements, and the CONTRACTOR shall not represent itself as the agent
or legal representative of the OWNER.

6. WARRANTIES AND INDEMNIFICATION


The CONTRACTOR shall assume full responsibility for the contract work from start up to
the final acceptance by the OWNER and shall be held responsible for any damage or
destruction of the works except those occasioned by force majeure and the safety,
protection, security and convenience of its personnel.

Warranty will be One (1) year from final acceptance of the Owner.

Any defect in the workmanship shall be rectified by the CONTRACTOR without additional
cost to the OWNER except for any extra work not related to the defect.

7. NON-DISCLOSURE PROVISIONS
The CONTRACTOR shall exclusively cooperate with the OWNER and shall maintain in strict
confidentiality any matter pertaining to the project during and even after the duration of
the project to protect the interests of the OWNER.

8. GENERAL TERMS.
This Agreement shall be governed and construed in accordance with the laws of the
Republic of the Philippines applicable to contracts made and fully perform therein, and
the courts located in Tarlac shall have exclusive jurisdiction of all suits and proceedings
arising out of or in connection with this Agreement. Both parties hereby submit to the
jurisdiction of said courts for purposes of any such suit or proceeding, and waive any claim
that any such forum is an inconvenient forum.

This Agreement represents the entire Agreement between the parties. The Agreement
may not be amended, changed or supplemented in any way except by written Agreement
signed by both parties.
