DEED OF CONDITIONAL SALE

KNOW ALL MEN BY THESE PRESENTS:

This Deed is made by and between:

LEONARDO R. DE LEON and DOMINGA DEL ROSARIO-DE


LEON, both of legal age, spouses, Filipino citizens and residents of and
with postal address at Brgy. Niugan, Angat, Bulacan, represented in
these Presents by their Attorney-In-Fact and Authorized
Representative, LEOBARDO S. PIADOZO, likewise of legal age,
married, Filipino citizen and resident of and with postal address at
Brgy. Sapang Bulak, Doña Remedios Trinidad, Bulacan and hereinafter
referred to as the SELLER (irrespective of number);

-and-

CAVITE IDEAL INTERNATIONAL CONSTRUCTION AND


DEVELOPMENT CORPORATION, a corporation organized and existing
by virtue of the laws of the Republic of the Philippines with address at 230
CAVDEAL Bldg., EDSA Extension, Brgy. San Rafael, Pasay City,
represented by its Chief Executive Officer and Authorized Representative,
LAMBERTO L. LEE, Jr., hereinafter referred to as the BUYER;

WITNESSETH:

WHEREAS, the SELLER are the registered owners of a parcel of land


(“Property”) situated in Brgy. Banaban, Angat, Bulacan covered and embraced in
Transfer Certificate of Title No. 040-20180196565 of the Registry of Deeds for the
Province of Bulacan, Meycauayan Branch, containing an area of Thirty Six
Thousand Two Hundred Seventy Five (36,275) Square Meters, more or less;

WHEREAS, the BUYER has offered to buy the aforesaid parcel of land and
the SELLER has accepted the offer and for purposes of these Presents, the latter
appointed LEOBARDO S. PIADOZO as their Attorney-In-Fact and Authorized
Representative;

NOW, THEREFORE, for and in consideration of the foregoing, parties have


hereunto agreed as follows:

1. PURCHASE PRICE: The price at which the Parties herein agreed upon is
FOUR HUNDRED PESOS ONLY (Php400.00) per square meter or the total amount
of FOURTEEN MILLION FIVE HUNDRED TEN THOUSAND PESOS ONLY
(Php14,510,000.00);

2. DOWNPAYMENT AND BALANCE: An upfront payment of 50% of the


Total Purchase Price shall be paid upon the execution of this Deed. The balance of
the Purchase Price shall be paid upon the completion of the relocation survey to be
conducted by the BUYER to determine the metes and bounds of the Property and
the transfer of the title in the BUYER’s name;

3. PROHIBITION AND EXCLUSIVITY OF RIGHTS: The SELLER shall
not offer the aforementioned Property to any third party for sale or encumbrance
and the BUYER shall have the exclusive rights to purchase the same;

4. POSSESSION OF THE PROPERTY: The possession of the subject Property


shall be delivered and transferred by the BUYER to the SELLER upon the execution
of this Deed;

5. OBLIGATIONS OF THE SELLER: During the intervening period, the


SELLER shall cause the cancellation or removal of all registered or annotated notices
of adverse claims and lis pendens, if any; the SELLER shall settle all existing leases on
the property, if any, and execute agreements with lessees for cancellation of any
leases and peaceful turnover of the property to the BUYER and/or cause the
ejectment of any and all occupants of the Property;

6. OBLIGATIONS OF THE BUYER: The BUYER shall fully settle the Purchase
Price, without need of demand, once the conditions set forth herein are fulfilled and
convey the subject Property with full warranty of a legal and valid title as provided
by law, free and clear from any liens and encumbrances together with the delivery
of the peaceful possession thereof;

7. LIABILITY TO PAY THE CORRESPONDING TAXES AND FEES: The


SELLER shall be liable to pay the agent’s commission and the corresponding capital
gains taxes relating to the sale transaction between herein Parties while the
documentary stamps taxes, transfer and registration taxes shall be for the account of
the BUYER;

8. CONTINGENCIES: If for any reason, the contract of sale does not push
through, the amount given by the BUYER to the SELLER shall be reimbursed by the
latter to former within three (3) days upon final termination of talks or discussion
regarding the sale acquisition without need of demand. If the amount is not
reimbursed immediately, the same shall earn interest at the rate of 24% per annum
from the time it becomes overdue;

9. WARRANTIES: The SELLER and their Attorney-In-Fact and Authorized


Representative hereby warrant that they have the necessary authority to sell or
otherwise dispose of the property subject matter of this Agreement and shall defend
the possession and title of the BUYER from any adverse claimants;

10. VENUE OF ACTIONS: In the event that any of the Parties herein is
constrained to file any action relative to the enforcement of their respective rights
hereunder, Parties hereby agree that the same shall only be filed in the proper courts
in Metro Manila only to the exclusion of all other venues.

IN WITNESS WHEREOF, the parties have hereunto affixed their signatures,


this ____ day of ____________, 2018 at _______________, Philippines.

the Registry of Deeds for the Province of Bulacan, Meycauayan Branch .
