Complaint

Plaintiff Chicago Voice and Data Authority (“CVADA”), by and through its

attorneys, Patterson Law Firm, LLC, complains of Defendant Janel Forde,

in her official capacity as Director of the Department of Central

Management Services (“CMS”), and states as follows:

Overview of the Complaint

CVADA is a woman/Hispanic owned union electrical contractor located

in Chicago and is certified by the Department of Central Management

Services’ Business Enterprise Program as well as also being certified as

MBE/WBE/DBE/ACDBE. Plaintiff competes with other MBEs on

occasion for prime contracts and more commonly competes to be on

teams which include a General Contractor as the prime who is seeking to

fulfill an MBE requirement. Contrary to Illinois law, CMS has

circumvented statutory requirements and regulatory processes to certify


REX Electric & Technologies, LLC (“REX Electric”) and potentially others

that do not meet the plain language of the statute and the BEP program.

REX Electric and potentially others have inappropriately claimed their

entitlement to a program focused on working with minority owned

businesses. Plaintiff has been harmed by Defendant’s misconduct and is

seeking relief to decertify certain inapplicable businesses, obtain

information used to certify REX Electric and other businesses, and to

immediately change the Defendant’s certification process so that it

complies with the law.

Parties

1. Plaintiff Chicago Voice and Data Authority Corporation (“CVADA”)

is a corporation with a principal place of business at 2444 West 16th

Street, Chicago, IL 60608.

2. Defendant Janel Forde serves as Director of the Department of

Central Management Services (“CMS”). CMS is a state government

agency that conducts business in Chicago.

Jurisdiction and Venue

3. This Court has jurisdiction pursuant to Article VI Section 9 of the

Illinois Constitution.

4. Venue is appropriate because the Defendant conducts business

in Chicago, including but not limited to, by entering into state contracts

with Chicago businesses, contractors and subcontractors.

Factual Allegations

I. Background on MBE Certification Procedures

5. The Business Enterprise Program for Minorities, Females and

Persons with Disabilities Act (the “Act”) requires that at least 20% of

state contracts must be conducted by minority owned businesses. 30

ILCS 575. The statute defines a minority owned business as follows:

a business concern which is at least 51% owned by one or


more minority persons, or in the case of a corporation, at
least 51% of the stock in which is owned by one or more
minority persons; and the management and daily business
operations of which are controlled by one or more of the
minority individuals who own it.

6. To qualify for the Act’s reserved contracts, MBEs must “ha[ve]

annual gross sales of less than $75,000,000 as evidenced by the federal

income tax return of the business”. 30 ILCS 575.

7. The statute carves out a project-based exception for businesses

with gross sales that exceed the statutory amount.

A firm with gross sales in excess of this cap may apply to the
Council for certification for a particular contract if the firm
can demonstrate that the contract would have significant
impact on businesses owned by minorities, females, or
persons with disabilities as suppliers or subcontractors or in
employment of minorities, females, or persons with
disabilities

8. The State of Illinois created The Business Enterprise Program

(“BEP”), a program within the Department of Central Management

Services (“CMS”), to ensure compliance with The Act. 36 Ill. Reg. 10717.

9. The BEP Council oversees the certification, outreach and

compliance.

10. At all relevant times, members of the BEP Council included CMS

Director Janel Forde and thirteen other members either appointed by the

government or by statute.

11. At all relevant times, BEP staff members were also responsible for

administering the Act. These staff members include, without limitation,

Deputy Director and Secretary Arielle Johnson and Associate Deputy

Director Nicole Mandeville.

12. Plaintiff CVADA is a properly certified MBE under 30 ILCS 575.

II. REX Electric is Acquired and Begins Claiming MBE Status

13. REX Electric & Technologies, LLC (“REX Electric”) is a for-profit

corporation based in Chicago. It is a subsidiary of Chugach Commercial

Holdings LLC.

14. Chugach Commercial Holdings LLC is itself a subsidiary of

Chugach Alaskan Corporation.

15. This makes REX Electric the subsidiary of a subsidiary of an

Alaskan Native Corporation (ANC).

16. Chugach Commercial Holdings, LLC or Chugach Alaska

Corporation (or both) has revenue far exceeding $75,000,000, with

investments not only in the US, but around the world and on multiple

continents.

businesses and investments across a range of industries” with 6,000

18. Chugach boasts that “its rapid growth and diversification in

business lines” leads to consistent top five ranking positions in Alaska

In 2019, Chugach reported a revenue of $977,000,000. Id.

19. Its corporate web extends throughout the world, from Alaska and

Hawaii to the continental US to Guantanamo Bay to Africa, Europe, and

Asia:

21. Before the acquisition of REX Electric by Chugach Commercial

Holdings LLC, REX Electric was not a certified MBE by any certifying

organization.

22. Despite Chugach’s acquisition of REX Electric, Chugach, through

its CEO, Gabriel Kompkoff, has stated in a video originally published on

YouTube, words to the effect: “We don’t want to put our imprint on great

companies, we just want to be a part of great companies and Rex is

already a great company, and if we can do things behind the scenes to

help grow the company, add capital, add capacity, and then . . . get out

of the way, that’s that’s [sic] how we . . . want to do it.” One of REX’s

Vice Presidents further stated in the video, “we are still here, we are still

the same team.”

23. Chugach therefore admitted that it is not involved in REX

Electric’s day-to-day operations, and that its operations are handled by

its prior management.

24. Although the video was publicly available at

no longer publicly accessible.

25. REX Electric began seeking MBE certification at some time

following the acquisition.

III. Andrew Johnson Begins Pushing REX Electric’s Interests Soon
After Appointment to the BEP Council

26. In early 2021, Governor Pritzker appointed Andrew Johnson

(“Member Johnson”) to the BEP Council.

27. On March 3, 2021, Member Johnson began his BEP Council

term. Shortly thereafter, he was also appointed to BEP’s subcommittee

on certification (“Certification Subcommittee” or “subcommittee”).

28. Less than a month into his term, Member Johnson began a

campaign to obtain MBE Certification for REX Electric, as REX Electric’s

certification had been denied and REX Electric was in the process of

appealing the denial.

29. On March 22, 2021, the Certification Subcommittee heard a

presentation from Peter Andersen, Senior Vice President of Chugach

Commercial Holdings.

30. Andersen sought state MBE certification but did not once specify

a particular contract that REX Electric was pursuing.

31. Although the subcommittee members supported the broader

inclusion of Native American operated businesses, they expressed

uncertainty about whether REX Electric could qualify as an MBE.

32. Member Larry Ivory immediately inquired about REX Electric’s

annual gross sales. March Subcommittee Recording, 42:56. Member

Carlos Gutierrez responded that REX Electric’s grossed $82 million, more

than $5 million over the statutory limit. March Subcommittee Recording,

46:09.

33. Member Sharron Matthews also expressed concerns. Specifically,

she noted that there were important differences between the federal and

state standards for MBE certification 1. March Subcommittee Recording,

48:08.

34. Member Carlos Gutierrez plainly stated that REX Electric “cannot

fit the exemption” without applying for a specific contract under the

statute, referring to the particular contract-based exemption to the $75

million cap. March Subcommittee Recording, 51:51.

35. In light of these concerns, BEP Deputy Director Arielle Johnson

suggested tabling the discussion of certification, noting “this is not an

instance where we are looking to move aggressively and [the

subcommittee should make] sure that they can actually participate on a

contract”. March Subcommittee Recording, 59:29.

36. Although the members’ concerns related to REX Electric and its

gross revenue, Johnson took offense. He blamed his colleagues’

hesitancy on their lack of education about “Alaskan natives and their

special relationship to this country”. March Subcommittee Recording,

55:05.

37. The members resolved the issue to obtain more information, with

an “actual decision” on REX Electric’s appeal to be taken at the next

subcommittee meeting. March Subcommittee Recording, 1:22:23–123:25,

1:24:09–1:24:25.

38. REX Electric was appealing its denial, resulting from the fact that

REX Electric reported sales of $87,922,561 and Chugach Commercial

Holdings, LLC or Chugach Alaska Corporation had gross sales of

$976,707,600.

39. As REX Electric’s parent company had over $75 million in

revenue, the appeal should have been denied as there is no statutory

exemption for ANCs. However, the video demonstrates that the BEP

Council tabled the issue to a future meeting.

40. Notwithstanding that the video recording demonstrates that there

would be a vote at a later date after more information was obtained, the

minutes from the meeting assert that votes were taken and there was a

recommendation to allow for Rex to be certified notwithstanding the

financial cap. March Subcommittee Minutes, IV, Attached as Exhibit E.

41. Based on the subsequent committee discussions and minutes,

however, it appears that no such decision took place, as Member

Johnson continued to push for certification of REX Electric.

IV. In April and May 2021, Member Johnson Promotes Chugach Alaska
Corporation and REX Electric and asks the Certification
Subcommittee to Certify REX Electric

42. Over the next several months, Member Andrew Johnson

continued his campaign to garner support for REX Electric.

43. At the full CEP Council meeting on April 26, 2021, Johnson gave

a presentation entitled “Celebrating American Indian and Alaskan Native

Voices in Illinois”.

44. He promoted the ANC business structure. One slide in particular,

“Alaskan Native Corporation Lands”, notably accentuated the location of

Chugach Alaska Corporation, REX Electric’s parent company.

45. In the next Certification Subcommittee on May 24, 2021, he

presented for a second time on the Alaskan Native Corporation business

structure.

46. This time around, Johnson was far more blunt, stating “I would

like to introduce that we do allow tribally owned companies, Alaskan

Native companies, to be properly certified”. May Subcommittee Recording,

47. Johnson couldn’t help but mention REX Electric stating “after

speaking with them, most recently, they are below [the gross sales limit]”.

May Subcommittee Recording, 46:44.

V. Member Johnson Continues His Campaign at the June and July


2021 Meetings

48. At the BEP full council meeting on June 28, 2021, Deputy

Director Arielle Johnson stated that she had an update from Member

Johnson about his plans to “revisit” REX Electric’s certification.

49. The next Certification Subcommittee meeting was scheduled for

July 26, 2021. CMS posted the meeting’s agenda included items about

REX Electric but did not state that it was being considered for

certification.

50. CMS also failed to upload the recording of this meeting. The

minutes reflect a lack of certainty as to whether there was a quorum and

the subcommittee tabled most of their votes.

51. Notwithstanding concerns about a quorum, Johnson moved to

repeal the subcommittee’s denial of REX Electric’s certification.

52. Notably, the Act does not permit any “repeal” of the denial of

certification.

53. The excerpt following excerpts from the subcommittee meeting

speaks for itself:

a) Member Andrew Johnson gave a presentation regarding Rex


Electric & Technologies, LLC’s appeal, informing the subcommittee
that they were denied for being over the BEP cap.
b) Member Johnson discussed the way the State views ANC and gave
a history of ANCs.
c) He proposed a motion to repeal Rex Electric’s appeal being denied.
d) Member Matthews thanked him for the education on ANCs. She
stated that legislation needed to be changed regarding treatment of
foreign firms.
e) Member Johnson responded that regarding item #1 he wants the
committee to look at this holistically and with point #2 he believes
that other factors should be looked at as far as subsidiaries and
affiliates being considered in a different light when addressing
ANCs. He also pointed out that other states do make exceptions for
ANCs like REX.
f) Member McKinnie asked why Member Johnson was presenting the
appeal on behalf of REX Electric which is a conflict of interest.
g) Julie Langrehr stated there are no rules on how to address
conflicts of interest within council members.
h) Member Matthews clarified that Rex Electric is a subsidiary within
a subsidiary of a billion plus company and still would like a change
in legislation.
i) Member Delano interjected that she feels that this decision is being
rushed and would like to table the discussion of this particular
company.
j) Julie Langrehr stated that there is still not clear guidance as to
whether they have a quorum to take a vote.

k) Ms. Johnson stated she will schedule another meeting to further
discuss the matter.

54. Contrary to the statement at the meeting, any member of the

Council with a business or personal shall refrain from participating in

the “determination upon such matter.” 30 ILCS 575/5(4)

55. At this meeting, Member Johnson continued his push for

reconsideration of certification for REX Electric despite other members

being concerned about a conflict of interest.

56. Member Johnson, in his many minutes spent promoting REX

Electric and seeking to secure a BEP certification even where Illinois law

would not allow it, has not engaged in similar campaigns for other Native

American businesses, including those actually based in Illinois,

notwithstanding the subcommittee discussing the importance of

supporting Illinois’ business.

57. Fellow committee Member McKinnie correctly raised the issue of a

conflict, as it is incomprehensible why Member Johnson is laser focused

on advocating for a conglomerate with almost a billion dollars in annual

sales located thousands of miles away, ignoring other businesses.

VI. BEP Caves to Member Johnson’s Campaign in Violation of Illinois


Law

58. At the full committee meeting on August 23, 2021, BEP Deputy

Director Arielle Johnson reported on the certification subcommittee’s

appeal had initially been denied. She then stated that she rescinded that

denial in her capacity as BEP Deputy Director. August BEP Committee

Recording, 4:13. She stated that she “had the authority to do so in

writing” but did not specify where this authority came from. August BEP

Committee Recording, 4:22.

59. Member Carlos Gutierrez then provided an update from the

certification subcommittee’s ongoing business. He mentioned that the

subcommittee needed to do further research about the Act’s applicability

to ANCs.

60. Notably displeased by this update, Andrew Johnson demanded

assurances that REX Electric was actually certified.

61. Arielle Johnson replied “yes REX Electric is [sic] is taken care of

and is certified”. August BEP Committee Recording, 4:13.

62. Based on these statements, it appears that REX Electric’s appeal

was never granted, but that the denial of certification was rescinded.

63. The subcommittee met the following month on September 27,

2021 where Andrew Johnson immediately requested a change to the July

minutes.

64. Apparently, he took offense to the use of the word company when

Member Matthews clarified that REX Electric was a subsidiary of an

ANC. “[An ANC] is not a company. This is an American Indian tribe. The

asset level is not a factor here because it is part of an American Indian

tribe.” September Subcommittee Recording, 46:10.

65. Subcommittee Chair Tracy Sullivan seemed understandably

confused by Johnson’s request and sought the advice of the

subcommittee’s legal counsel, Julie Langrehr and Radhika Lakhani.

Counsel explained that minutes are supposed to reflect the discussions

that actually occurred during the meeting. Because the subcommittee

had not engaged in a discussion about whether ANCs were tribes, they

advised against changing the minutes.

VII. BEP lists REX Electric as a certified MBE

66. Apparently based on the rescinded denial, CMS listed Rex Electric

as a certified Minority Business Enterprise on its website. The

certification information provides a renewal date of February 18, 2022.

67. According to BEP’s policies, certifications are valid for one year.

That means that BEP certified REX Electric on February 18, 2021, more

than a month before the certification subcommittee initially tabled its

request.

VIII. REX Electric’s Certification is Substantively and Procedurally


Improper

68. On information and belief, Arielle Johnson used BEP’s “fast track

program” to bypass the Act’s substantive and procedural requirements.

69. The Act permits the BEP to recognize reciprocity with other

certification agencies, provided that those agencies provide “more

restrictive” certification requirements than those under the Act. 30 ILCS

575/81.

70. REX Electric is certified as a Minority Business Enterprise by the

Minority Supplier Development Council (“MSDC”).

71. REX Electric was not eligible for BEP’s fast track program

because its MSDC certification was less restrictive than the requirements

under the Act, including the fact that it does not contain income

limitations.

72. Additionally, REX Electric was ineligible because REX Electric’s

affiliated and parent companies’ revenue exceeds $75,000,000, rendering

certification improper.

73. The applicable administrative code details how this income cap

should be limited. Section 10.64 provides that “sales of any affiliated

business shall also be counted,” and defines affiliated businesses as “one

related to the other by virtue of significant commonality of management,

or commonality of ownership (at least 5% of one company owned by

owner or management personnel of the other).”

74. Under the plain language of the code, the sales of other

companies owned by Chugach Commercial Holdings, LLC or Chugach

Alaska Corporation must be considered, resulting in almost one billion

dollars in revenue.

75. Therefore, REX Electric is not applicable for BEP certification

based on its relationship with its parent company.

76. Companies with revenue over $75,000,000 cannot be certified

generally pursuant to 30 ILCS 575, but rather can only obtain project-

based certification was provided and additional statutory criteria are met.

77. Additionally, on information and belief, REX Electric does not

qualify for certification as the management and daily business operations

are not controlled by one or more of the minority individuals who own it

as required by 30 ILCS 575(3).

78. REX Electric, in its own words based on the statements in its

promotional video, therefore does not qualify, as control by the minority

owner requires making the “day-to-day as well as major decisions”. 30

ILCS 575(2)(A)(9).

79. In its appeal, REX Electric further expressed its distance from its

affiliated corporations, noting it is “run 100% independently of any other

subsidiary that Chugach owns.”

80. REX Electric therefore plays up its affiliation with Chugach when

trying to demonstrate minority control, but distances itself when its

parent company’s enormity becomes a problem.

81. REX Electric’s statement of its independence is further evidence

of its lack of minority owner involvement in its day-to-day operations.

82. Additionally, the process used by BEP was inconsistent with the

applicable administrative rules.

83. As detailed above, the process used to certify REX Electric was

rescinding a denial. However, such a process is inconsistent with Section

10.70 of the regulations, as a denial must be appealed, and the appeal

process detailed by the regulations was not followed and does not allow

for the procedure used, which requires an actual committee vote rather

than unilateral action.

84. The rescinded denial was therefore procedurally flawed as well as

substantively deficient.

85. Therefore, the rescinded denial is improper and invalid.

Count I
Declaratory Judgment

86. Plaintiff restates and incorporates the allegations in Paragraphs

1–85 as fully sets forth herein.

87. Defendant and her agents are bound by the laws of Illinois.

88. REX Electric is not eligible for blanket certification under the Act.

89. Because REX Electric never specified a contract for project

certification, BEP cannot grant an exception under the Act.

90. REX Electric’s certification is invalid because it exceeds the

revenue cap when properly calculated pursuant to the applicable rules, it

was certified by an organization with less restrictive than the

requirements under the Act, its certification was procedurally improper,

and, upon information and belief, the management and daily business

operations do not qualify REX Electric for certification.

91. An actual controversy exists as to REX Electric’s certification.

92. Plaintiff is a lawfully certified MBE so it has an interest in state

contracts with amounts designated for minority contractors under 30

ILCS 575.

93. Plaintiff has a tangible legal interest in the improper certification

of REX Electric as it now has to compete against REX Electric for MBE

selection, notwithstanding its lack of proper certification.

94. Defendant has an opposing interest to Plaintiff, as Defendant

wants REX Electric to be certified.

95. An actual controversy exists between the parties, as Defendant

has improperly certified REX Electric.

96. A declaratory judgment as to this issue would resolve this current

controversy and opposing interests.

WHEREFORE, Plaintiff seeks a declaratory judgment that REX Electric is

not certified as a Minority Business Enterprise under Illinois law.

Count II
Declaratory Judgment

97. Plaintiff realleges and incorporates the allegations in Paragraphs

1–85 as fully set forth herein.

98. Because it does not impose a revenue cap, the MSDC does not

have more restrictive certification criteria than the BEP Council.

99. Based on the certification of REX Electric, it does not appear that

MSDC actually reviews the day-to-day operations, as based on REX

Electric’s own promotional materials and on information and belief, its

day-to-day operations are not run by minority members. As such, the

certification by MSDC does not have more restrictive certification criteria

than the BEP Council.

100. Upon information and belief, and as will be further explored in

discovery, the CMSDC certification has been used as a means to allow

other non-qualifying MBEs aside from REX Electric to obtain BEP

reciprocal certification.

101. CMSDC certification does not provide grounds for expedited

certification under 30 ILCS 575/5(2)(a), as the CMSDC does not use

“requirements and procedures equaling or exceeding those in this Act.”

102. Plaintiff has a tangible legal interest in preventing CMSDC

certification being used for reciprocal certification as it allows companies

who should not qualify as MBEs under the law to be improperly

classified as such.

103. Defendant has an opposing interest in that Defendant wishes

to continue to allow CMSDC reciprocal certification.

terminate, in whole or part, the controversy giving rise to this proceeding.

WHEREFORE, Plaintiff seeks declaratory judgment that Defendant may

not use CMSDC for expedited certification.

Mandamus

106. Plaintiff restates and incorporates the allegations in

Paragraphs 1–85 as fully set forth herein.

107. As a lawfully certified MBE, Plaintiff has a clear right and a

vested interest in the applicability of MBE certification.

108. As the Director of a state governing body, Defendant is bound

by state laws, specifically 30 ILCS 575, and has a clear duty to act in

compliance with its laws.

109. As the Director of a state governing body, Defendant has clear

authority to comply with this Court’s orders.

WHEREFORE, Plaintiff seeks a writ of mandamus demanding that

Defendant remove REX Electric from all published repositories of

certified MBEs.
