KNOW TO ALL MEN BY THIS PRESENTS:

I, MARIA CRUZ, of legal age, single, Filipino citizen and with


residence at No. 11, Lot 2, Block 6, Azure Subd., Sampaloc, Manila,
Philippines; do hereby APPOINT, NAME AND CONSTITUTE JUAN
CRUZ, of legal age, single, Filipino, with residence at No. 11, Lot 2, Block
6, Azure Subd., Sampaloc, Manila, Philippines; to be my true and lawful
ATTORNEY IN-FACT to act, for and in my stead, to do and perform the
following acts, deeds and things, to wit:

1. TO ACCEPT in my behalf, DEED OF DONATION executed in


my favor involving a certain parcel of land with Transfer Certificate Of
Title No. 123 located in No. 11, Lot 2, Block 6, Azure Subd., Sampaloc,
Manila;

2. TO ENTER, COME INTO AGREEMENT, SIGN AND


EXECUTE an EXTRA-JUDICIAL SETTLEMENT involving a certain
parcel of land with Transfer Certificate Of Title No. 123 located in No. 11,
Lot 2, Block 6, Azure Subd., Sampaloc, Manila;

3. TO PROCESS, SIGN AND EXECUTE ALL pertinent


documents to effect the transfer of title of the above described properties to
the name of the PRINCIPAL;

HEREBY granting to my representative full power and authority to


execute and perform every act necessary, as though I MYSELF have so
performed it; APPROVING ALL that he may do by virtue hereof with full
right of substitution of her person and revocation of this instrument.
