TERMS AND CONDITIONS FOR SALE SCRAP

1. INTRODUCTION:

1.1 All Contracts / Transactions entered into by the Buyer/Bidder arising out of this e-
auction shall be governed by the integrity pact available on our website
https://auction.telangana.gov.in/
1.2 The Buyers/Bidders who are interested to purchase the product under sale through e-
auction should get themselves registered with TS e-auction portal as buyer for e-
auctions before commencement of e-auctions.
1.3 For the PCB group Scrap items, the Tenderer must have valid Authorization Certificate
from Pollution Control Board of their respective state. The Tenderer must provide Safety
appliances at the time of removal of Hazardous material also. The empty oil/grease etc
barrels will be delivered to the successful buyers on De-toxification of same wherever it
is required. The equipments/PCB authorization certificates if any required shall be borne
by successful buyers only and No such facility will be arranged by seller/SCCL. Hence,
the prospective buyers shall note down these before participating in such lots. No
representations/issues/queries will be entertained after completions of e-auction.
For implementation of Safety Rules, the Firms are required to depute their personnel to undergo
Medical Examination, Training at respective VTC training centres of SCCL, after depositing the
total Material Value. In this regard, if some days of lifting period is utilised for medical & VTC
training at SCCL, the lifting period will be extended for the no. of days utilized for Medical & VTC
Training without Ground Rent. In this respect, the Stores In-Charges shall inform in writing and
take the consent of GM (E&M) Stores.

Any disposal material which is attracting any statutory obligation must be disposed off
accordingly

1.4 ALL CONTRACTS/TRANSACTIONS ENTERED INTO BY THE BUYER/BIDDER


ARISING OUT OF THIS E-AUCTION SHALL BE GOVERNED BY THE INTEGRITY
PACT AVAILABLE ON OUR WEBSITE https://auction.telangana.gov.in/

2. PRE-BID EMD:

2.1 The Bidders who wish to bid in this e-auction should submit Pre-Bid EMD for each
e- Auction LOT (as per auction catalogue) through e-Payment Gateway only at least
one working day before the date of e-auction accepted till 17.00 hrs (IST).

Pre-Bid EMD shall be kept for the lots as mentioned in the statement.

The bidder shall indicate the lot No. at the time of submission of Pre-Bid EMD. Pre-Bid EMD
shall be submitted separately for each Lot.

2.4 Bidders who remitted Pre-Bid EMD Deposit through RTGS/NEFT should communicate
TS PORTAL SEVICE PROVIDER, Hyderabad in writing through Mail/Fax along with
UTR Form duly attached, failing which they will not be allowed to participate in the
e-auction. In any case, the Pre-Bid EMD deposits remitted either RTGS/NEFT transfers
after the due date as above will not be accepted and Bidders will not be activated for
participating in e-auctions It is to be noted that “No payment by any third party on behalf
of the successful bidder/bidders shall be accepted”. No interest shall be payable on the
Pre-Bid EMD Deposit.

4. ELIGIBILITY FOR BID PARTICIPATION:

4.1. Only those buyers who register themselves with TS e-Auction portal as per specified
guidelines for registration, displayed on TS e-Auction portal website
https://auction.telangana.gov.in have remitted UNCONDITIONAL PRE BID EMD as
per the applicable terms, Submitted qualifying documents at SCCL, Kothagudem
well before the last day of submission of documents as per Annexure I and found
correct as per terms and conditions of the e-Auction shall be eligible to participate
in the bidding process.

4.2. Note: Net Banking Option: The amount shall be credited in T-1 EOD basis, so the
buyer should preferably remit the fund through Net-Banking 24 hours before the last
day mentioned in the TS e-Auction portal catalogue. Fund transfer through Net
Banking is NEFT transaction and the same will be credited in TS e-Auction pool
account the very next day excluding Sunday/holiday as per RBI guidelines.

4.3. The material list & Special Terms and Conditions (STC) displayed under view
upcoming auctions on e-auction website are tentative and subject to change at the
sole discretion of department before the start of e-auction. Bidders should, therefore,
download the material list and STC displayed only under upcoming/running auctions
for their record purpose, if required, and bid accordingly.

4.4. Department shall have the right to issue addendum to the General Terms and
Conditions (GTC) or Buyer Special Terms and Conditions (BSTC) or STC to clarify,
amend, modify, supplement or delete any of the conditions, clauses or items stated
therein and the Addendum so issued shall form a part of the original STC.

5. INSPECTION OF LOT/ EAUCTION DATE :

5.1. For inspection of materials, the interested Bidders may contact the stock holder as
per inspection schedule as mentioned in contact persons list at Para no. 21.

5.2. Bidder identity as a proof to be submitted to the PRINCIPAL before material


inspection

5.3. For inspection of materials, the seller/company name, date of commencement of


inspection, name of contact official with their contact details are as mentioned in
the contact list.

5.4. The buyer has to satisfy himself about the quality quantity, age, and condition etc.
of the materials.

5.5. The principle of “CAVEAT EMPTOR” (LET THE BUYER BE AWARE) will apply.
Produce a copy of this e-Auction Catalogue downloaded from the Website.
6. SUBMISSION OF BIDS & BIDDING PROCESS:

6.1. Bids are to be submitted by the buyer online in the TS e-Auction Portal website
https://auction.telangana.gov.in/ between the bid submission time as per time
schedule indicated.

6.2. Seller / Telangana e-Auction Portal will not provide any computer terminal for
bidders and it is the whole responsibility of the bidders to arrange themselves.

6.3. Minimum Price: The Minimum Price to be quoted by bidders shall the start price
Plus Increment value defined by Auction Inviting Authority or its multiples indicated
against each lot Per MT.

6.4. TELANGANA E-AUCTION PORTAL is acting only as a service provider for this e-
auction and shall not be a party to the contract between the Department and the
Buyer subsequent to this e-auction. By bidding in this e-auction, a bidder
acknowledges that TELANGANA E-AUCTION PORTAL shall not be held
responsible for any loss that he/she/they may suffer as a consequence to this e-
auction.

6.5. The Lots notified for sale will be sold through e-auction on “as is where is basis”.
Hence the bidders should inspect the lots and satisfy themselves in all aspects
before bidding, as otherwise it is deemed that the bidder has inspected the lot(s)
and satisfied himself/herself and no claims of any nature are maintainable against
Department.

6.6. The bid value shall be the basic price per UOM as prescribed exclusive of all
applicable levies, Duties etc. Bidders shall quote in INR. The bidders shall quote in
Rupees per UOM.

6.7. Each e-auction Lot is a separate entity for bidding. Bidders have to bid separately
for each e-auction lot

 Click on the “Go to Auction Bidding Page”

6.8. Procedure to participate in e-auction: To participate in e-Auction The auction floor


will open up with relevant details. Bidding is to be done as per UOM If any valid bid
is received in less than 8 minutes before closing time, then closing time will
automatically extend up to last bid time plus 8 minutes, thus giving enough
opportunity to others to revise their bids on that e-auction. The process will continue.
The e-auction will close at a time when there will be no bid for consecutive 8 minutes.
While during normal and extended period of e-auction, bidders can increase bid
defined by Auction Inviting Authority and its multiples per for each Lot.

6.9. Auto Bid facility:

i. Auto Bid facility is provided for bidders intending to place a maximum value for a
lot / lots.
ii. The bid value shall be the basic price of the material exclusive of all applicable
levies, duties etc., in per UOM in INR.
iii. Each e-auction lot is a separate entity for bidding. Bidders have to bid
separately for each e-auction lot.

iv. Auto Extension: EAuction period will normally be of 4 (four) hours duration
subject to automatic extension. If any bid is received during the last 8 (eight)
minutes before scheduled close of auction for any lot, its close time will get
automatically extended by 8 minutes from the time of last bid in order to give
equal opportunity to all bidders. Bidding will close for a particular lot either at the
scheduled close time or till there will be a period of 8 (eight) minutes during
which no bid has been recorded, whichever happens later.

v. Bid Increment: While during normal and in the extended period of eauction
, bidders can increase bid minimum by Rs.1/-(One)/UOM or in multiple of
Rs.1/- (One)/UOM, unless and otherwise specified.

8. DEFINITIONS:
In this contract, following terms shall be interpreted as:

i) “The Contract” shall mean the issuance of award letter, which will constitute the
formation of the Contract.

ii) “The Contract Value” means the consideration payable to the suppliers under the
Contract for the full and proper performance of its contractual obligations.

iii) “Day” means calendar day.

iv) “Effective Date” means the date on which this Contract becomes effective (i.e.
issue date of LOA).

v) “GCS” mean General Conditions of Supply contained in this document.


vi) “SCS” means Special Conditions of Supply contained in this document.

vii) “The Buyer” which expression shall unless repugnant to the context or meaning
thereof be deemed to include its successors and permitted assigns.

viii) “Supplier” (i.e. SCCL) which expression shall unless repugnant to the context or
meaning thereof be deemed to include its successors and permitted assigns.

ix) “Acceptable Bank” means any of the banks referred to in Annexure - VII List of
the Banks.

x) Awarded Quantity - is the quantity of scrap as finalized by SCCL.

xi) “Arbitration Act” means the Indian Arbitration and Conciliation Act, 1996, as
amended and modified from time to time, including any re-enactment thereof.

xii) Metric Tonne (MT) means 1000 Kilograms.

xiii) “Governmental Instrumentality” means any central/state ministry, agency,


inspectorate, department, authority, commission or any regional or municipal
authority thereof, which exercises any sovereign/state function in India or
otherwise in relation to the performance of this Agreement by either Party
including any licensing authority.

xiv) “Law(s)” means applicable laws, rules, regulations, judgments, decrees, or other
legislative measures having the force of law or issued by any government agency,
instrumentality, body or legislature, National, State or local authority or a court of
competent Jurisdiction.

xv) “Party” means the Owner or the Bidder, as the case may be, and “Parties” means
both of them.

9. E-AUCTION RESULT/STATUS:

It must be personally seen by the Bidders online through the link Participated Auction
History Lot Status immediately after closing of e-Auction which will be displayed up to 7
(Seven) days from the date of Closing of e-Auction (excluding the date of closing of
e-Auction) and payment of SECURITY DEPOSIT(SD) must be made accordingly.
Immediately after closing of e-Auction, a system generated automatic Sale Intimation
Letter will be issued by e-mail to the successful bidder. The bidders must always keep
their registered email account valid, failing which bidders will be liable for non-
compliance of payment/delivery instructions, if issued by TS e-Auction portal /SELLER
from time to time.
10. PAYMENT OF SECURITY DEPOSIT (SD):

10.1 Successful bidders, for all the lots, have to deposit the SD, within 7 days from the
date of closing of e-auction (excluding the date of e-auction closing). The bidder
has to deposit SD equivalent to 10% (after pre-bid EMD, if any) of
quoted basic value of the confirmed lots through e payment gate way at least one
working day before the 7th (Seventh) day from the date of closing of e-Auction.

10.2. SD will not be adjusted against the material value.

10.3 This security deposit in any case shall not carry any interest and the same shall
be refunded after successful completion of lifting of material and/or issue of
NOC from SCCL

10.4 The H1 buyers for Lots under STA basis have to submit Post Bid EMD after
approval from seller within 7 working

automatic Sale Intimation Letter will be issued by e-mail to the successful
bidder it must be noted by the bidders that such ‘Sale Intimation Letter’ will
be issued by Department only for the purpose of record and payment of SD
will have to be made within the stipulated time. Bidders must, therefore keep
watch on their incoming e-mail. No hard copy of the Sale Intimation Letter
(on Confirmed or STA basis) will be issued by Department.

b. It must be noted by the Bidders that such Sale order/acceptance Letter will
be issued by Dept. only for the purpose of record and payment of sale value
along with taxes and duties must be made within the above specified time. If
the last date of payment happens to be the Bank/SCCL Holiday, the payment
will be accepted on the next working day without late payment charge.

11. DEFAULT IN PAYMENT OF SD:

11.1 In case the successful Bidder fails to pay SD, their Pre-Bid EMD, if any, will stand
forfeited automatically, besides de-activation of their login. If the last date
of payment happens to be the Bank/Department Holiday, the payment will be
accepted on the next day.

i) Rate of SD: SD will be @ 10% of the Sale Value for Lots Sold on
Confirmed basis and @ 10% of the Sale Value for Lots Sold on STA Basis.

ii) SD by way of e payment gate way (RTGS/NEFT) of any Scheduled Bank


favoring the Seller must be to DEPARTMENT.
12. PAYMENT OF SALE VALUE WITH TAXES AND DUTIES:

12.1 Although immediately after receipt of SD, a Sale Order/Acceptance letter will
be issued to the Highest Bidder advising him to deposit the sale value
along with taxes and duties within the above stipulated time through
RTGS/NEFT/DD in the manner indicated in the sale order, it must be noted by the
Bidders that such Sale order/acceptance Letter will be issued by DEPARTMENT
only for the purpose of record and payment of sale value along with taxes
and duties must be made within the above specified time. If the last date of
payment happens to be the Bank/DEPARTMENT Holiday, the payment will be
accepted on the next working day without late payment charge.

12.2 In case of sold / confirmed lots the buyer will have to deposit (100%) material
value as per Sale Order, in the form of RTGS/NEFT/DD directly to respective
locations of SCCL as per the following manners.

(i) 100% material value along with the applicable taxes as per the prevailing
Government Rules as applicable from time to time should be paid through DD /
RTGS to SCCL payable at respective locations as per the Sale Orders.
(ii) The rate quoted shall be net and the GST applicable from time to time, as per the
prevailing Government Rules. Applicable GST and any other duties and
taxes should pay to SCCL as applicable on the date of Delivery.
(iii) All the payments to be submitted as per the following depending on the
material value.
(iv) Material Value ≤ 5 Lakhs: Within 17 (Seventeen) calendar days from the
date of issuance of Acceptance Letters/Sale Orders. (Excluding the date
of issue).
(v) Material Value > 5 Lakhs but ≤ 15 Lakhs: Within 25 calendar days from the
date of issuance of Acceptance Letters/Sale Orders. (Excluding the date
of issue).
(vi) Material Value > 15 Lakhs: Within 30 calendar days from the date of
issuance of Acceptance Letters/Sale Orders. (Excluding the date of issue).

12.3 GST rates as indicated in this e-auction catalogue are only indicative. Actual GST
rates as applicable on the date of lifting shall be applicable. Bidders are required
to satisfy themselves about GST rate through their own sources/means before
bidding in this e-auction and any discrepancy should be intimated SCCL at least
one working day prior to the e-auction. No complaint from any bidder thereafter,
regarding any variation will be entertained after the e-auction goes on live floor.
Nonpayment of sale proceeds on the ground of any discrepancy of GST rate will
be treated as default and action as deemed fit including but not limited to
forfeiture of EMD/SD will be taken against the bidder.

13. DEFAULT IN PAYMENT :

In case of default in payment of the Sale Value within the prescribed time limits, the due
payment may be made together with late payment charges @ 1% per week or part thereof
calculated on the Sale Value for a minimum period of one week or multiple thereof maximum
up to 5 (Five) weeks. Thereafter the Security Deposit will stand forfeited without any notice.
However, this shall not confer any right to the Bidder to make any Late Payment of Sale
Value or applicable Duties and Taxes and SCCL reserves the right not to accept the
payment of the Sale Value with or without additional charges after expiry of due payment
time as mentioned above. If the buyer fails to pay the material value along with applicable
Duties and Taxes late payment charges within above mentioned due date, then SD of
particular lot will stand forfeited automatically. Besides above, SCCL reserves the right to
forfeit any amount/money lying with SCCL from the successful Bidder who defaults in
making the due payments against the e-Auction even though such amount/money may be
lying with SCCL on account of the said Bidder against any other contract/transaction.
14. DELIVERY ORDER:
On receipt of payment towards sale value along with taxes and duties, delivery order will be
issued by SCCL indicating the delivery period as under: The period of delivery will be 30
calendar days counted from the date of issue of Delivery Order excluding date of issue of
Delivery Order. If the last date of delivery happens to be the closed Holiday for sellers, the
delivery will be allowed on the next day without ground rent.

15. DELIVERY OF MATERIAL:

For the purpose of taking delivery from the Seller's Location/Depot/Plant, the authorized
representative of the Buyer i.e. the authorized Photo ID Card Holder should report to the
Seller along with his original Photo ID Card or the said Photo ID Card Holder may depute
any other Representative along with Authority Letter on Buyers Letter-Head after duly
attesting the signature of his Representative along with a Self Certified/Notarized Photocopy
of his Photo ID Card. The successful Bidder/Buyer must take prior permission from the
principal before placement of vehicle for taking delivery of material after making payment of
sale value along with taxes & duties.

16. DEFAULT IN DELIVERY:

In case of delay in lifting beyond the above specified period, ground rent 1% per week or
part thereof up to a period of 5 (five) weeks will be charged by the seller in advance. In case
the delay is beyond 5 (five) weeks, the seller will have the option to grant further extension,
in exceptional cases with/without additional ground rent, depending upon the circumstances
for such delay. Thereafter the SD & Total Material Value will stand forfeited without any
notice. The un-lifted material will become the property of SCCL, and it will have the right to
dispose of such goods in any manner as they may deem fit without any notice.

17. In case of any dispute regarding payment/delivery or any other matter relating to this e-
auction, the decision of Department shall be final.

18. BLACK-LISTING :

The Department reserve the right to black-list, debar any bidder/buyer due to any act of
omission or commission or fraudulent acts indulged or caused to be indulged by such
bidder/buyer in the course of bidding process and/or in the execution or performance of any
of the contracts which may be awarded to the bidder/buyer pursuant to the e-auction,
provided however, that the Seller and/or DEPARTMENT shall be obliged to allow an
opportunity of being heard to such bidder/buyer before any order of black-listing/debarment
could be passed. Any such order of black listing/debarment that may be passed by the Seller
and/or DEPARTMENT shall be without prejudice to other right of actions available to the
seller and/or DEPARTMENT against the bidder/buyer under the e-auction terms and
conditions.

19. GENERAL:

i) Validity of Bids: All the bids will be valid for 90 days from the date of closing of e-
Auction, excluding the date of closing. In case the last day falls on a holiday or
remains closed for SCCL, such Bids will be deemed to be automatically extended to
be valid upto the next working day of SCCL.

ii) Period of Contract: 60 days from the date of issuance of Sale Order/Release Order
issued by Seller or up to the extended period of validity of the Delivery Order/Release
Order in case the Delivery period is extended by the Seller.

iii) Confirmation of sale on confirmed basis/STA basis: After closing of e-Auction, in


case the Highest Bid is equal to or more than the Reserve Price, the respective Lot
will be deemed to be Sold on CONFIRMED basis, whereas if the Highest Bid is less
than the RP but equal to or more than the lower limit of the RP, then such Highest
Bid will be deemed to be Provisionally Sold on SUBJECT TO APPROVAL (STA) basis
for which status will be available at the website as indicated above. For lot sold on
provisional under STA basis, final online approval or otherwise will be made by the
principal and automatic email intimation will be issued to the bidder within the validity
of their offer which shall be 10 calendar days from the date of issue of email
intimation(excluding the date of issue).

iv) Caution in Submission of Bid: The Bidder shall be solely responsible for all
consequences arising out of the bid submitted by him (including any wrongful bidding
by him) and no-complaint/representation will be entertained by SCCL in this regard.
Hence Bidders must be careful to check (the Bid Amount/No. Of 0/No.of Digits/Unit
of Measurement etc.) and rectify their bid (if required) before submitting their Bid into
the Running e-Auction floor by clicking the 'Bid Button. In case of any bid being equal
to or more than 5 (five) times the current Highest Bid for a particular Lot, this will be
displayed by way of a WARNING on the Bidder's screen before he confirms/submits
the bid. There is no provision for putting Bids in decimals. During Running Auction,
only brief Lot/Item details will be shown under Lot Name on the Auction Floor where
Bidders are required to bid. The complete Item Details can be seen by the Bidders by
clicking on the respective Item hyperlinked under Lot Name and it shall be the
responsibility of the Bidders to see the Item Details before bidding and no
representation / complaint in this regard will be entertained by SCCL / Seller from the
Bidders.
v) Unit of Measurement (UOM) for Bidding, Sale & Delivery: Each Lot will have to
be bid, sold and delivered on the basis of Unit Of Measurement ( i.e. UOM ) stipulated
in the Material List displayed on the Auction Floor of Running Auctions. Any
representation/complaint from the Bidders for the Bid to be made/having been made
on the basis of any other Unit of Measurement will not be entertained.

vi) Taxes and Duties: The GST rate and/or any other statutory Duty/Tax/Levy/Charge
etc. will be applicable and payable by the Buyer as prevailing on the date of actual
physical delivery of materials. The rates of Duties and Taxes displayed on the e-
Auction Website are only indicative and based on the rates prevailing before the
commencement of the e-Auction. Successful Bidders shall have to pay Income Tax
by way of TCS @ 1% on all Scrap items purchased for trading as per Section 206 C
of IT Act 1961. The TCS will be calculated on the gross Sale Value.

vii) Deactivation of Password: If the successful highest Bidder for both Confirmed or
STA sale, fails to pay the Post-Bid EMD/SD in time, then his Password will be
deactivated and shall normally be DEBARRED for a minimum period of 6 (six) months
from participating in all e-Auctions and disposal sales by SCCL on behalf of this Seller
and, his Registration Fee will be forfeited. While considering his request for
reactivation which will be at the sole discretion of SCCL, all facts including the number
of Seller / e-Auctions / Lots for which he had failed which are germane will be taken
into account.

viii) Sale of Unsold Lot: SCCL at its sole discretion may take recourse to any of the
following options for sale of the unsold Lot:

a) The Unsold Lot may be put up for re-eAuction at the sole discretion of SCCL
without Pre-Bid EMD (Earnest Money Deposit) OR with Pre-Bid EMD as may
be deemed fit by SCCL.

b) SCCL may take any other action in consultation with the Seller.

ix) Delayed Payment of SD: Delayed payment of SD may be accepted depending on


the circumstances of the case or urgency of disposal with/without penalty as may be
deemed fit by SCCL. This shall however not confer any right to the Bidder to make
any Late Payment of SD.

x) Calculation of Ground Rent for Delayed Lifting: In case of Goods sold on Lot
Basis, the Ground Rent will be calculated at the rate specified above on the value of
the entire Lot even if lifted in part, where as in case of Goods sold on Unit Weight or
Unit Number Basis, the Ground Rent will be calculated on the value of unlifted
quantity However it must be noted by the Bidders that it will be the sole discretion of
the Seller not to allow the Buyer to lift the Goods with or without the Ground Rent
after the expiry of the stipulated free Delivery period or even within the aforesaid
additional period of 14 (Fourteen) Days and in such event, the sale of the material not
lifted by the Buyer(s) will be automatically cancelled and all the moneys paid by the
Bidder /Buyer will be automatically forfeited.

xi) Removal of Sold Material: The materials sold shall be removed by the Buyers from
any one side of the Lot as per the sole direction of the Seller and no segregation/pick
and choose of items from the sold Lots will be permitted. For the purpose of removing
the materials, the successful Bidder shall employ or engage only his / their own
personnel at their own cost and shall keep the Seller fully indemnify against any
claims whatsoever including claim for wage, injuries, compensation, death etc. They
must follow all safety rules in this connection wherever applicable. The buyer shall be
liable for any violation of such rules.

xii) Dismantling of Material for Loading: In case any cutting permission is required for
dismantling operations, the same will have to be obtained by the Buyers from the
Department authorized representative and it will be sole discretion of the Seller/SCCL
to allow or not to allow such cutting permission. In case such permission is granted
by the principal, such operation has to be undertaken at buyers cost and risk only, to
the extent of facilitating the loading and transportation of the goods. They must follow
all safety rules in this connection wherever applicable. The buyer shall be liable for
any violation of such rules.

xiii) Accident during Dismantling / Removing / Loading / Transportation at Sellers


Premises: While dismantling/ removing/loading/transportation of materials at
Department premises ,if any accident or damage to the property/life etc. arises by
reason of any act of negligence /omission /default or non-compliance with any of the
Terms & Conditions of statutory regulations or rules and regulations applicable or
otherwise on the part of the Bidder's / his representative or employees resulting in
death or injury to any persons or damages to the property of Seller or any third Party
then in such an event the Bidder will have to pay compensation to any such person
including the employees of Seller for such injury / for damage to person's property of
such persons. The Bidder shall in such and event keep the Seller fully indemnified
from any demand, claims or proceedings made by any party.

xiv) Sale of Hazardous Waste Items:

Sale of Hazardous Waste items, namely Waste/used Oil and specified categories
of Non-Ferrous Metal Waste will be governed by the Hazardous Wastes
(Management and Transboundary Movement) Rules, 2016) and its
amendments, of the Central Government. Under Rule 7 (sub-rule 6) of the
Hazardous Wastes Rules, in case of transport of hazardous wastes to a facility for
treatment, storage and disposal existing in a State other than the State where
hazardous wastes are generated, the occupier shall have to obtain No objection
Certificate from the State Pollution Control Board or Committee of the concerned
State or Union territory Administration where the facility is existing. Notarized copy
of such NOC must be submitted before issue of delivery order within the specified
time. The lots shall be delivered by the seller/owner to the successful MOEF/CPCB
registered buyers after receiving the above NOC and also making necessary
endorsement in respect of the quantity transacted in the original letter of
MOEF/CPCB registration and Photostat copies of the endorsement shall be
furnished to their State Pollution Control Board by the seller/owner.

i. Sale of Batteries shall be governed by the Batteries (Management and Handling)


Rules, 2001 of the Central Government. The lots shall be delivered by the
seller/owner to the successful MOEF/CPCB registered buyers after making
necessary endorsement in respect of the quantity transacted in the original letter of
MOEF/CPCB registration and photo copy copies of the endorsement shall be
furnished to their State Pollution Control Board by the seller/owner.

ii. If the validity of Bidders MOEF/ CPCB Certificate expired on the Starting Date of e-
Auction, then there is no provision to view that item in bidding floor. Therefore,
interested bidder must ensure to produce a valid MOEF/CPCB renewal certificate
photocopy to SCCL along with its original for verification and return to activate the
PCB Code before the Starting Date of e-Auction. Wherever after the award of the lot,
validity of MOEF/CPCB Certificate expired, the bidder must submit copy of such
certificate duly renewed by MOEF/CPCB within the stipulated time of payment of
Balance Sale Value failing which the payment will not be accepted and the pre-&post
bid EMD/SD paid will stand automatically forfeited.

xv) The Bidder(s) shall have no right to issue any addendum to these Special Terms and
Conditions or Buyer Specific Terms and Conditions to clarify, amend, supplement or
delete any of the conditions, clauses or items stated therein.

xvi) SCCL / Seller reserves the right to accept / reject any offer / bid, withdraw from sale,
the materials offered for sale in full or part thereof prior to or after the acceptance of
the bid without specifying any reason thereof.
xvii) The Firm shall lift the Items from the site as indicated, accumulating all faults and errors in
description or otherwise. Quantity, quality, size measurement, marks, number and weight etc,
if any, mentioned are only approximate and no warranty or guarantee shall be implied on the
sale. The material in whatever condition shall be deemed to have been inspected before
bidding and no complaint shall be entertained after the bid is accepted.

xviii) The Items are sold as and where they lie on “as is where is” and “no complaint” basis.

xix) Lot-wise Acceptance Letter / Sale Order shall be released separately for each qualified Lot
indicating the details of the Lot with last date of payment with payment terms and period of
lifting with lifting terms

20. ARBITRATION:

The provisions of the Indian Arbitration Act. 1995, and the Rules there under shall apply to
such Arbitration the award passed by such Sole Arbitrator shall be final and shall
conclusively bind all the parties.

TS e-Auction portal Buyer Specific Terms & Conditions

1. INTERPRETATION

1.1. Government Of Telangana shall be hereinafter referred to as "GoTS" or


Administrator and the participating parties or individuals shall be hereinafter
referred to as "Bidders", the successful bidder shall hereinafter be referred to as
the buyer or purchaser. The organisation on whose behalf GoTS will conduct
auction as their Selling Agent shall be referred to as the principal who is otherwise
the owner and stock holder of materials to be sold.

1.2. The general terms & conditions (hereinafter referred to as the GTC) are common
for all auctions and are in addition to Special Terms & Conditions (hereinafter
referred to as the STC), if any, for any particular auction and shall form an integral
part of the auction and so far as it has not been altered or modified by the STC.
In case of any conflict or difference between any provision of the GTC and STC,
the provision of STC will prevail for that particular auction.

1.3. If any account is deactivated for non-compliance of any terms & conditions of e-
auction, then the registration fees for that account will stand forfeited In case the
same party wants to re-register itself, it shall be required to pay a penalty to be
decided by GoTS Management. However, the acceptance of such re-registration
fees shall be at the sole and absolute discretion of GoTS.

1.4. Trademarks And Copyrights:


The bidder acknowledges and agrees that wherever applicable, the content,
including but not limited to text, software, music, sound, photographs, graphics,
video, or other material contained in Website, including advertisements or
information is protected by domestic and international copyrights, trademarks,
service marks, patents, or other proprietary rights and laws. The bidder is permitted
to utilize this material and information only for personal use, and shall not copy,
reproduce, transmit, distribute, or create derivative works of such content or
information without express authorization. GoTS shall not be held liable for any
misuse or infringement of any trademark or copyright by the bidder, and the bidder
shall be solely liable for any damages, claims, actions, etc. for infringement or
violation of the same. GoTS reserves the right at its sole discretion to terminate the
access of the bidder to the Website, if the bidder violates the provisions of this
clause.

1.5. ARBITRATION: Any dispute or difference arising between the seller, GoTS and
the bidder/buyer in connection with the interpretation or implementation of the
terms and conditions shall be referred to a Sole Arbitrator to be appointed by the
Chairman-cum-Managing Director, GoTS Limited, n reference by any of the
parties. The provisions of the Arbitration and Conciliation Act, 1996, as amended,
shall apply to such arbitration. The place where the concerned office of GoTS
conducting the e-auction is situate shall be the venue of such arbitration
proceedings and the language of such arbitration shall be English. The award of
such Sole Arbitrator shall be final and binding on the parties.

1.6. JURISDICTION: Only the Courts at Telangana, INDIA shall have the exclusive
jurisdiction to entertain any dispute connected with the arbitration proceedings or
any other matter or claim arising out of or in connection with the e-auction.

1.7. BIDDING AND BUYING: All bids on the Site are a firm commitment to purchase. If
you are the highest bidder/lowest bidder at the end of an auction (meeting the
applicable minimum bid or reserve requirements) and your bid is accepted by the
seller, you are obligated to complete the transaction with the seller. Bids may be
increased in price or volume later but may not be withdrawn . Bids cannot
be cancelled. All bids must be in Indian Rupees only.

By bidding on an item you agree to be bound by the conditions of sale included in


the item’s description (or linked to form the description) so long as those conditions
of sale are not in violation of this Agreement or unlawful. In case of consumer
goods, ( never indicates the retail prices) of the items being sold. You are advised
to independently verify the retail prices of such items if you so desire.

GoTS advises you not to test the auction process with false bids, as it will put you
at substantial personal legal risk. It is a crime to use a false name, other false
personal information or known invalid credit card to bid. Wilfully entering erroneous
or fictitious bids may result in prosecution by GoTS.

In the event of Dual Winners displayed online for a Single Auction, the bidder who
has received by Winning Email will be rightful Winner, and beyond that there is not
liability.

1.8. PRIORITY IN BIDDING: In Order to qualify and be identified as a successful bid,


the following priority parameters will be follows:

(a) Price: The higher price bids always supersede the lower price bids.
(b) Time: Between bids of the same price, the bid, which was placed prior in
point of time, shall supersede

GoTS decision on the success or otherwise of a bid shall be final and binding. It
reserves the right to reject or void bids, whether winning or not, that it deems not
to have been made in good faith, or that are restricted or prohibited.

1.9. FORCE MAJEURE: GoTS/Owner shall not be liable for any failure or delay in
performance due to any reason / cause beyond their control including fires, floods,
go-slow, lock-out, closure, pestilence, dispute with staff, dislocation of normal
working conditions, war, riots, epidemics, political upheavals, government action,
lock-down, civil commotion, breakdown of machinery including technical failures,
shortage of labour, acts demands or otherwise or any other cause or conditions
beyond the control of aforesaid cause or not and the existence of such cause or
consequence may operate at the sole discretion of GoTS / Owner to extend the
time of performance on the part of GoTS / Owner by such period as may be
necessary to be necessary to enable GoTS/Owner to effect performance after the
cause of delay will have cause exist. The provisions aforesaid shall not be limited
or abrogated by any other terms of the contract whether printed or written.

2. MODE/PROCEDURE:

2.1 All intending bidders and buyers for participating in E-Auction will have to register on
line.On completion of details as per registration format, all such bidders will be able to
access the auction floor with the user id and password they have chosen at the time of
registration. Such bidders will henceforth be called as “registered bidders”.

None other than the registered bidders will have any access to the details of the

auction.

2.1. The auction notification mentioning the starting date, list of materials, location of
materials, name of principal or owner will however, be available on our web-site for all
Internet users.

2.2. The details of the auction will be hyper-linked to the unique auction number for each
individual auction. The registered bidder can enter into the details which will be as
follows :

a) Opening and closing date and time


b) Name and location (address) of the principal of the owner of the material
c) Brief description of the materials with its location and approximate quantity put up
for sale.
d) Period of inspection.

3. AUCTION FLOOR

3.1. After selecting the desired auction, all users can finally arrive at the auction floor
containing list of items, quantity, unit of measurement and column for bidding.
Each item name of the materials will be hyper-linked to details of the items.

3.2. The following information will be present in the auction floor :-

i. Opening date and time


ii. Closing date and time
iii. Item number
iv. Item name,
v. Quantity and unit of measurement
vi. Effective Price or basic price, if any ?
vii. Your bid in Rs./UOM
viii. Bid history
3.3. The closing time of an auction shall automatically be extended by 5 minutes for all Coal
auctions and by 8 minutes for all other auctions if bid continues (e.g. in case the closing
time is 5-30 p.m. of any particular date and if any bidder bids at 5.29 p.m. then the
closing time will be automatically extended to 5-37 p.m. in case of auctions other than
Coal Similarly, if any bidder again bid at 5-36 p.m. then the closing time will
automatically be extended to 5-44 p.m. in case of auctions other than Coal and so on).

3.4. A bid once given cannot be retracted

3.5. AUTOMATIC/PROXY BIDDING


Each bidder will have the option to declare his maximum value of bid (which cannot be
viewed by any bidder ) up-to which his automatic bidding will continue. This maximum
value of the bid / increment value may be enhanced by the bidder at any time before
the closing of the auction. In case there is a tie in the highest bid offered by someone
else with the maximum value opted by a automatic / proxy bidder then the bid of the
automatic / proxy bidder will be acknowledged as H1 bidder and a flash would appear
to inform the bidder other than the automatic / proxy bidder that there is a tie and he
may bid a higher amount.

4. The respective items will be marked "sold" after closing of the auction when the highest
bid is greater than the reserve price and automatically intimation to the concerned buyer
will be sent on line for making payment as detailed in the subsequent paras.

4.1 Only STA will appear against a lot after closing of the auction for which final approval
will be intimated separately. STA marking will only appear when the price fetched as
the highest bid in the auction is below the reserve price up-to a certain percentage, as
indicated by the principal before the starting of auction.
4.2 A lot or item can be withdrawn from the auction before starting of the auction, as well
as during the auction and also after the auction without assigning any reason.

5. SALE OF LOTS/ ITEMS ON SUBJECT TO APPROVAL (STA) BASIS


5.1 In case of lots where bids have been kept open for the decision by the higher authority
of the principal or owner of the material at a later date, the buyer will have to pay the
earnest money (SD) @ 10% of the sale value plus applicable taxes and duties within
3 working days from the next date of the closure of auction. On final approval, the
payment of balance sale value will have to be made in the same procedure as at
clauses of 5.2 (a) to (c) as below.

5.2
a) Notwithstanding anything continued in STC the buyer will have option to make full
payments in all respect within the period of 1st installment.

b) The sale value including all taxes if not paid within the above time limits, it shall be
paid within such time limit as may be extended by the principal in
consultation with principals, together with ground rent. Such ground rent shall be
charged for a minimum period of one week or multiple thereof @ 1% of
the value of materials for a week or part thereof.

c) The sale value, as well taxes, Excise duty/GST plus any other levies as applicable
and payable by RTGS/NEFT/DD will have to be deposited with the authority as
specifically mentioned in the relevant clauses of Special Terms & Conditions.

5.3 The date of acceptance of bid will be the date on which the principal / GoTS sends the
acceptance message to the buyer. In the event of payment on accepted bids not
being completed within the time specified, the earnest money(SD) in addition to the
registration fee shall be forfeited without any further notice to the buyer. For delay in
making payment, the ground rent as mentioned at para - 5.2 (b) will apply. In case
the earnest money(SD) as mentioned above are not deposited within the time
specified, the registration fee will be forfeited without any further notice, where the
bids are not accepted finally, the earnest money(SD) deposit by the bidder shall be
refunded to the buyer.

6. CONDITION OF GOODS:

6.1. The goods are sold as and where they lie, on as is where is basis, the whole of the
lot/lots shall be taken from the site of accumulation with all faults and errors in
description. Otherwise the quantities, qualities, size or sizes, measurement, numbers
and weights as stated in the auction floor and or in any delivery documents are only
approximate and no guarantee or guarantees shall be implied. The goods are sold on
the specific assumption that whether the bidders have inspected the lots or not the
principle of Caveat-emptor will apply. No complaint will be entertained after sale.

6.2. Quantities made in the lot are approximate and GoTS holds out no warranty as regards
the quantity and fitness of the goods for any particular purpose. The value paid in
auction for the approximate quantity.

Proportionate value for the quantity falling short in a lot at the time of delivery will be
refunded to the buyer and it is not responsible of sccl and GoTS against the refund
of GST and any other Taxes which have been paid to Government .

6.3 Any quantity found excess in a lot over the approximate quantity mentioned in the
auction floor will have to be taken by the buyer after depositing the proportionate
amount along with the final instalment.

In the event the materials are found in excess of the materials, specified in the sale
order, the buyer will be allowed to deposit the balance amount within 10 days from the
date of the incident of the removal as mentioned in the Delivery Order, failing which,
the buyer shall deposit such balance value with ground rent at the same rate
mentioned in previous para per week or part thereof.
7. RISK
The goods shall be and remain in every respect at the risk of the buyer from the date of
acceptance of his offer by the principal who shall have no liability whatsoever for the safe-
custody or preservation thereof.

8. After Completed e-Auction H1 Bid will receive the e-mail with payment details, then H1
Bidders should pay the Payment as per Terms and Conditions mentioned in e-Auction. If
bidder fails to pay the payment, then GoTS should forfeited Pre bid EMD and meanwhile
de-activate the bidder for stipulated time.

9. NON-DELIVERY
9.1. Where the goods are sold in lots and not in number or unit and in the event of the
number or unit being found deficient in quantity, quality, size, measurement and weight
as indicated in the catalogue/description of materials/details in the auction floor or any
other documents, the buyer shall have no claim against the principal or against GoTS
for refund of whole or any part of the purchasers money or for loss of profit, interest,
damage or otherwise.
9.2. Where the stores are sold by weight or number and not on the basis of lots and in the
event of the buyer fails to obtain delivery of the whole or portion of the stores sold he
shall not be entitled to claim any damage, loss of interest or compensation or any other
account but shall be entitled to proportionate refund of sale value.
9.3. The buyer shall not be entitled to re-sale any item, lot or part of lot while the goods are
still lying within the premises of the principal and any such sale or assignment of the
buyer's right to the material sold in auction will not be recognised. All paper documents
for releasing materials will be made out in the name of the buyer only.
9.4. No interest will be paid on the amount deposited by the buyer and subsequently found
refundable under any of the condition mentioned herein before.

10. FAILURE TO TAKE DELIVERY AFTER PAYMENT

10.1. In the event of non-removal of sold material after expiry of time allowed in the
relevant order and subsequent extension (s) thereof, if any, the principal/owner of
the material shall have the right to order re-sale of the said material as also to forfeit
relevant payments (as specified in GTC, BSTC & STC) paid by the defaulting buyer
in respect thereof. The principal/owner of the stores may, however, in its
discretion give the buyer further extension beyond the time stipulated for taking
delivery of the materials in exceptional circumstances and/or relief against payment
of further ground rent in part or in whole.
10.2. The buyer shall be responsible for any damage that may be caused to the premises,
equipments, machineries and/or any other installations of the plant/establishment
of the principal/owner of the materials in taking away or removing the lot or lots
purchased by him. The principal/owner of the materials may at their own option
arrange themselves to make good such damages and the buyer shall have to bear
the cost thereof on demand. The authority fully reserves the right to recover the
cost of such damages from any sum due to the buyer.
10.3. The principal/owner of the materials reserves the right to withdraw at any stage the
sale of any item or quantity of material either by number or by weight even after
issue of sale order/delivery order when the material are required for their internal
use. The principal/owner will not be bound to assign any other reason or details
thereof excepting internal use. Value of the materials so withdrawn, if any, and
paid by the buyer will be refunded. The principal will however, not be responsible
for any damage, loss direct or consequential compensation whatsoever to the
buyer nor for payment of any interest.

11. GENERAL
11.1. The principal/GoTS reserves the right/option to produce any or all such documents
off line i.e. by paper hard copy wherever such situation warrants, however,
excepting the bidding process.
11.2. Neither the principal nor GoTS will be held responsible for authorising any on line
payment by any buyer/bidder and subsequent loss or damage caused to that buyer
or bidder for such authority.
11.3. The safe-custody of gate pass, challans, authorising delivery or any such hard copy
documents will be the sole responsibility of the buyer once the same are made
over to them. The principal or GoTS will not be liable for any delay or damage for
mis-placement of any such hard copy document by the buyer.
11.4. So long the workers, employees, agent or any representative of the buyer are
required to work within the premises of the principal/owner of the material, the
relevant Labour Laws & Rules, Factory Acts and Rules and any other statutory
provision will be equally applicable as in the case of workers and employees of the
principal. It will be in their own interest to know this provision before starting the
job. It shall be responsibility of the buyer to see that the statutory provisions are
complied with and they will be only and solely responsible in any manner for their
employees, workers, agents, representatives employed for the job.
11.5. In respect to forthcoming auctions, GoTS reserves the right to alter, postpone,
modify, cancel any or all of the contents of the notification without any prior
intimation to the prospective buyers.

12. CANCELLATION OF BUYER REGISTRATION


In case any Buyer fails to make the payment towards Registration Fees to GoTS within X
days from the date of his registration, then the registration is cancelled. He can, however,
re-register himself for the purpose of paying Registration Fees and activate his account
for participation in the forthcoming auctions.

13. DEACTIVATION
If any buyer's account is de-activated for non-compliance of any of the terms and
conditions of the e-auction , then the registration / re-registration fees of that buyer's
account will stand forfeited without any further reference to the buyer and the buyer
registration de-activated. In case the buyer desires to re-register, they shall request the
regional / branch office of GoTS conducting the e-auction, under which the non-
compliance had taken place. Requests for such re-registration will be examined by GoTS,
keeping in view the lot value, the past record of the Buyer , recommendations from the
principal, recommendations from the concerned regional / branch office of GoTS and other
relevant factors. Based on such considerations, GoTS may either reject the request or
levy a re -activation fee on the basis of the above parameters assessed by the GoTS. On
receipt of the re-activation fee as may be levied along with service tax / education cess
and any other charges for the time being in force as applicable , the Buyer's account shall
be re-activated , On such terms and considerations as GoTS may deem fit. GoTS's
decision in this regard shall be final and binding on the buyer.

14. ACTUAL CONTRACT


The actual contract between GoTS & Buyer will be deemed to have been concluded only
after the ink signed copy of Acceptance Letter/Sale Order has been issued.

1. WELCOME TO TS E-AUCTION PORTAL:

This unique service of auction on the net is offered to you, subject to the following General
Terms & Conditions of Service ("GTC"), which may be updated by us from time to time

http://auction.telangana.gov.in. In addition, when using particular TS E-AUCTION PORTAL
services, you and TS E-AUCTION PORTAL shall be subject to any posted Guidelines or
Rules applicable to such services which may be posted from time to time. All such
Guidelines or Rules are hereby incorporated by reference into the GTC. TS E-AUCTION
PORTAL also may offer other services from time to time, such as that is governed by
different General Terms & Conditions of Services.

2. DESCRIPTION OF SERVICE:

portion thereof). TS E-AUCTION PORTAL is concerned about the safety and privacy of all
its users.

5. MEMBER ACCOUNT, PASSWORD AND SECURITY:

6. MEMBER CONDUCT:

are the sole responsibility of the person from which such Content originated. You agree to
not use the Service to : a. upload, post, email, transmit or otherwise make available any
Content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory,

including, but not limited to, a TS E-AUCTION PORTAL official, forum leader, guide or host,
or falsely state or otherwise misrepresent your affiliation with a person or entity; d. forge
headers or otherwise manipulate identifiers in order to disguise the origin of any Content
transmitted through the Service; e. upload, post, email, transmit or otherwise make available
any Content that you do not have a right to make available under any law or under
contractual or fiduciary relationships (such as inside information, proprietary and
confidential information learned or disclosed as part of employment relationships or under
nondisclosure agreements); f. upload, post, email, transmit or otherwise make available any

country in which you reside.

9. CONTENT SUBMITTED OR MADE AVAILABLE FOR INCLUSION ON THE SERVICE TS

Does not claim ownership of Content you submit or make available for inclusion on the
Service. However, with respect to Content you submit or make available for inclusion on
publicly accessible areas of the Service, you grant TS E-AUCTION PORTAL the following
state-wide, royalty free and non-exclusive license(s), as applicable:
 With respect to Content you submit or make available for inclusion on publicly
accessible areas of TS E-AUCTION PORTAL, the license to use, distribute,
reproduce, modify, adapt, publicly perform and publicly display such Content on the
Service solely for the purposes of providing and promoting the specific purpose to
which such Content was submitted or made available. This license exists only for as
long as you elect to continue to include such Content on the Service and will
terminate at the time you remove or TS E-AUCTION PORTAL removes such Content
from the Service.
 With respect to photos, graphics, audio or video you submit or make available for
inclusion on publicly accessible area of the Service, the license to use, distribute,
reproduce, modify, adapt, publicly perform and publicly display such Content on the
Service solely for the purpose for which such Content was submitted or made

into other works in any format or medium now known or later developed. "Publicly
accessible" areas of the Service are those areas of the TS E-AUCTION PORTAL
network of properties that are intended by TS E-AUCTION PORTAL to be available
to the general public.
10. INDEMNITY:

You agree to indemnify and hold TS E-AUCTION PORTAL, and its subsidiaries, affiliates,
officers, agents, co-branders or other partners, and employees, harmless from any claim or
demand, including reasonable lawyers' fees, made by any third party due to or arising out
of Content you submit, post, transmit or make available through the Service, your use of
the Service, your connection to the Service, your violation of the GTC, or your violation of
any rights of another.
11. NO RESALE OF SERVICE:
You agree not to reproduce, duplicate, copy, sell, resell or exploit for any commercial
purposes, any portion of the Service, use of the Service, or access to the Service.

12. GENERAL PRACTICES REGARDING USE AND STORAGE:

You acknowledge that TS E-AUCTION PORTAL may establish general practices and limits
concerning use of the Service. You further acknowledge that TS E-AUCTION PORTAL
reserves the right to change these general practices and limits at any time, in its sole
discretion, with or without notice.

13. MODIFICATIONS TO SERVICE TS E-AUCTION PORTAL:

Reserves the right at any time and from time to time to modify or discontinue, temporarily
or permanently, the Service (or any part thereof) with 15 days notice. You agree that TS E-
AUCTION PORTAL shall not be liable to you or to any third party for any modification,
suspension or discontinuance of the Service provided such notice has been given to you.

14. TERMINATION:

You agree that TS E-AUCTION PORTAL, in its sole discretion, may terminate your
password, account (or any part thereof) or use of the Service, and remove and discard any
Content within the Service, for any reason, including, without limitation, for lack of use or if
TS E-AUCTION PORTAL believes that you have violated or acted inconsistently with the
letter or spirit of the GTC. TS E-AUCTION PORTAL may also in its sole discretion and at
any time discontinue providing the Service, or any part thereof, with prior notice of 15 days.
You agree that any termination of your access to the Service under any provision of this
GTC may be effected without prior notice, and acknowledge and agree that TS E-AUCTION
PORTAL may immediately deactivate or delete your account and all related information and
files in your account and/or bar any further access to such files or the Service. Further, you
agree that TS E-AUCTION PORTAL shall not be liable to you or any third-party for any
termination of your access to the Service.

The Service may provide, or third parties may provide, links to other World Wide Web sites
or resources. Because TS E-AUCTION PORTAL has no control over such sites and
resources, you acknowledge and agree that TS E-AUCTION PORTAL is not responsible

available from such sites or resources. You further acknowledge and agree that TS E-
AUCTION PORTAL shall not be responsible or liable, directly or indirectly, for any damage

interface that is provided by TS E-AUCTION PORTAL for use in accessing the Service.

17. Disclaimer of warranties you expressly understand and agree that : a. your use of the
service is at your sole risk. the service is provided on an "as is" and "as available" basis. TS
E-AUCTION PORTAL expressly disclaims all warranties of any kind, whether express or
implied, including, but not limited to the implied warranties of merchantability, fitness for a
particular purpose and non-infringement. b. TS E-AUCTION PORTAL makes no warranty
that (i) the service will meet your requirements, (ii) the service will be uninterrupted, timely,
secure, or error-free, (iii) the results that may be obtained from the use of the service will
be accurate or reliable, (iv) the quality of any products, services, information, or other
material purchased or obtained by you through the service will meet your expectations, c.
no advice or information, whether oral or written, obtained by you from TS E-AUCTION
PORTAL or through or from the service shall create any warranty not expressly stated in
the gtc. d. time definition clarity & responsibility (i) time for all purposes in the conduct of the
auction shall denote the time as registered in the TS E-AUCTION PORTAL e-auction

not be liable for any direct, indirect, incidental, special, consequential or exemplary
damages, including but not limited to, damages for loss of profits, goodwill, use, data or
other intangible losses (even if TS E-AUCTION PORTAL has been advised of the possibility
of such damages), resulting from: (i) the use or the inability to use the service; (ii) the cost
of procurement of substitute goods and services resulting from any goods, data, information
or services purchased or obtained or messages received or transactions entered into
through or from the service; (iii) unauthorized access to or alteration of your transmissions
or data; (iv) statements or conduct of any third party on the service; or (v) any other matter
relating to the service.

21. NOTICE:

Notices to you may be made via either email and/or regular mail. The Service may also
provide notices of changes to the GTC or other matters by displaying notices or links to
notices to you generally on the Service.
22. GENERAL INFORMATION:

The GTC constitute the entire agreement between you and TS E-AUCTION PORTAL and
govern your use of the Service, superceding any prior agreements between you and TS E-
AUCTION PORTAL. You also may be subject to Special Terms and conditions that may
apply when you use affiliate services, third-party content. The GTC and the relationship
between you and TS E-AUCTION PORTAL shall be governed by INDIAN laws without
regard to its conflict of law provisions. You and TS E-AUCTION PORTAL agree to submit
to the personal and exclusive jurisdiction of the courts located within the city of,
(Hyderabad, Tenlangana). The failure of TS E-AUCTION PORTAL to exercise or enforce
any right or provision of the GTC shall not constitute a waiver of such right or provision. If
any provision of the GTC is found by a court of competent jurisdiction to be invalid, the
parties nevertheless agree that the court should endeavor to give effect to the parties'
intentions as reflected in the provision, and the other provisions of the GTC remain in full
force and effect. You agree that regardless of any statute or law to the contrary, any claim
or cause of action arising out of or related to use of the Service or the GTC must be filed
within one (1) year after such claim or cause of action arose or be forever barred. The
auction shall be closed at the scheduled time as stipulated in each case unless it is
extended by the process of auto-extension as explained in Clause 3.3 under BUYER
SPECIFIC TERMS & CONDITIONS. On expiry of the auto-extension period by the system,
a message AUCTION IS CLOSED will be displayed which will be construed that the
particular lot(s)/ auction is closed for bidding. The clause titles in the GTC are for
convenience only and have no legal or contractual effect.

23. AUTO CANCELLATION OF BUYER REGISTRATION:

In case any Buyer fails to make the payment towards Registration Fees to TS E-AUCTION
PORTAL within 30 days from the date of his registration, then the registration is
automatically cancelled. He can, however, re-register himself for the purpose of paying
Registration Fees and activate his account for participation in the forthcoming auctions.

24. AUTO DEACTIVATION:

If any account is deactivated for non-compliance of any Terms & Conditions of the E-
auction, then the registration fees for that account will stand forfeited. In case the same
party wants to re-register himself, he shall be required to pay a penalty to be decided by TS
E-AUCTION PORTAL Management. However, the acceptance of such re-registration fees
shall be at the sole & absolute discretion of TS E-AUCTION PORTAL.

25. INTEGRITY PACT:

26. VIOLATIONS:

Please report any violations of the GTC to the Dealing Department.

27. Department / Black-Listing The TS E-AUCTION PORTAL:

Reserve the right to black-list, debar any bidder/buyer due to any act of omission or
commission or fraudulent acts indulged or caused to be indulged by such bidder/buyer in
the course of bidding process and/or in the execution or performance of any of the contracts
which may be awarded to the bidder/buyer pursuant to the e-Auction, provided however,
that the TS E-AUCTION PORTAL shall be obliged to allow an opportunity of being heard to
such bidder/buyer before any order of black-listing/debarment could be passed. Any such
order of black-listing/debarment that may be passed by the ANY TS GOVERNMENT
DEPARTMENT/TS E-AUCTION PORTAL shall be without prejudice to other right of actions
available to the ANY TS GOVERNMENT DEPARTMENT/TS E-AUCTION PORTAL against
the bidder/buyer under the e-Auction
